3. Client Responsibilities
When engaging with our services, you agree to:

Ensure that your employees and representatives cooperate with our team.
Maintain any licences, software, or third-party services required for your operations.
Take reasonable steps to protect your own systems, including following our security recommendations.
4. Fees & Payment
Fees will be agreed in advance and set out in your proposal or contract.
Unless otherwise stated, all fees are exclusive of VAT.
Payment terms are [30 days] from the date of invoice, unless otherwise agreed.
Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
5. Confidentiality
Both parties agree to keep confidential all information shared during the course of the engagement, unless required by law.
6. Intellectual Property
Any intellectual property we create specifically for you under a paid engagement will belong to you once full payment has been received.
Pre-existing materials, methodologies, and tools remain our property.
You are granted a licence to use any software, documentation, or materials provided, subject to relevant third-party terms.
7. Liability
We will take reasonable care in delivering our services, but we cannot guarantee that IT systems will be free from errors, downtime, or security incidents.
We are not liable for:
Loss of profit, revenue, or business opportunities.
Indirect or consequential losses.
Issues caused by third-party services or software.
Our total liability under any contract will not exceed the total fees paid for the specific service giving rise to the claim.
8. Third-Party Services
Our solutions may involve third-party products (e.g., Microsoft, Dell, Dentally, Boxly). These will be subject to the third party’s own terms and conditions. We are not responsible for changes to their services or pricing.
9. Termination
Either party may terminate the engagement with written notice if:
The other party breaches the contract and does not remedy it within 30 days.
The other party becomes insolvent or ceases trading.
Upon termination, you must pay for services delivered up to the termination date.
10. Website Use
Our website content is for general information only.
You must not misuse our website by introducing viruses, malware, or attempting unauthorised access.
We may provide links to third-party sites. We are not responsible for their content or practices.
11. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
